1. Agreement to Terms

By accessing or using izyLocal (the "Service"), including our Chrome extension and website at https://izylocal.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is operated by SG Services, registered in France (SIRET: 992 218 552 00014).

2. Description of Service

izyLocal is a Chrome browser extension that allows users to track local business rankings on Google Maps through visual grid overlay analysis. The Service operates on a credit-based system where:

• 1 credit = 1 grid point scanned
• A standard 2-ring grid scan uses approximately 25 credits
• Credits are purchased in advance and deducted as you use the Service
• Credits never expire

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have a valid Google account for authentication
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

4. Account Registration

You must sign in using your Google account to use certain features of the Service. You are responsible for:

• Maintaining the security of your Google account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

5. Credits and Payments

5.1 Purchasing Credits

Credits can be purchased through our website using Stripe as our payment processor. All prices are displayed in Euros (€) and include applicable taxes.

5.2 Credit Usage

Credits are deducted from your balance when you perform ranking scans. The number of credits used depends on the grid configuration you select. Credits are non-transferable between accounts.

5.3 No Expiration

Purchased credits do not expire and remain in your account until used.

We reserve the right to modify credit pack prices at any time. Price changes will not affect credits already purchased.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the extension
• Use automated scripts, bots, or other methods to access the Service
• Resell, sublicense, or commercially exploit the Service without authorization
• Use the Service to collect data about other users
• Violate Google's Terms of Service while using our extension on Google Maps

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SG Services and is protected by international copyright, trademark, and other intellectual property laws.

The izyLocal name, logo, and all related marks are trademarks of SG Services. You may not use these marks without our prior written permission.

8. Third-Party Services

The Service integrates with third-party services including:

• Google Maps: The extension operates on Google Maps. Your use is subject to Google's Terms of Service.
• Google OAuth: Authentication is provided by Google.
• Stripe: Payment processing is handled by Stripe.

We are not responsible for the availability, accuracy, or content of third-party services.

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues or server failures
• Changes to Google Maps that affect extension functionality
• Force majeure events

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

Ranking data provided by the Service is for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of ranking information. Actual rankings may vary based on numerous factors including user location, search history, and Google's algorithms.

You agree to indemnify and hold harmless SG Services and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• Any unused credits in your account will be forfeited
• Provisions that by their nature should survive will remain in effect

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date and, where appropriate, through email or in-app notifications.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of France.

For consumers within the European Union, this clause does not affect your rights under mandatory consumer protection laws of your country of residence.

If you are a consumer in the European Union, you may have the right to withdraw from a purchase within 14 days. However, by purchasing credits and using them to perform scans, you expressly consent to the immediate provision of digital content, thereby waiving your right of withdrawal for used credits.

For dispute resolution, EU consumers may use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SG Services regarding the Service and supersede any prior agreements.
